Final Product Ownership and Use
Edit, Color, Sound & Creative Approval
If Young One Studio, LLC is engaged as the director, cinematographer, editor, or post-production provider for a project, Young One Studio, LLC retains final editorial and technical approval over the completed work unless otherwise agreed in writing.
The final version of the project, including but not limited to editing, pacing, shot selection, visual style, color grading, sound design, sound mixing, mastering, graphics, titles, visual effects, aspect ratio, and overall presentation, shall constitute the official approved version of the work.
Clients may not modify, alter, re-edit, recut, recolor, remix, resize, crop, replace music, remove branding, or otherwise create derivative versions of the final deliverable without the prior written consent of Young One Studio, LLC.
Posting the final delivered version to social media platforms is permitted, including any automatic compression, transcoding, or resizing performed by the platform itself (including but not limited to Instagram, TikTok, Facebook, Vimeo and YouTube).
Any unauthorized modification, distribution, or public exhibition of an altered version constitutes a material breach of this agreement. Young One Studio, LLC reserves the right to seek injunctive relief, recovery of damages, removal of the altered work, recovery of reasonable legal fees where permitted by law, and any other remedies available under applicable law.
Delivery
The Service shall be delivered in accordance with the agreed project brief, proposal, or quotation.
Final Deliverable
Young One Studio, LLC shall provide one completed master version of the production unless otherwise specified in writing.
Revisions
One consolidated round of revision notes is included with every project unless otherwise agreed in writing.
Revision requests should be submitted together in a single email or review document. Additional revision rounds, piecemeal feedback submitted across multiple communications, or revisions outside the agreed project scope may incur additional editing fees at the applicable hourly or daily rate.
Delivery Timelines
Delivery dates are estimates only. While Young One Studio, LLC makes every reasonable effort to meet agreed timelines, delivery dates cannot be guaranteed due to production variables beyond our reasonable control. Any significant delays will be communicated as soon as reasonably possible.
Payment
Payment terms shall be outlined within the quotation or invoice.
Unless otherwise agreed in writing:

Payment is due within fourteen (14) days of the invoice date.

Outstanding balances may accrue interest at 5% per month or the maximum amount permitted by applicable law, whichever is lower.

Projects exceeding USD $1,000 may be invoiced progressively upon completion of key production milestones.

Young One Studio, LLC reserves the right to suspend production, editing, delivery, or release of final files until outstanding balances have been paid in full.
All payments shall be made in United States Dollars without deduction or set-off.
Ownership, licenses, and usage rights granted under this agreement shall not transfer until all invoices relating to the project have been paid in full.
Exclusive usage rights or transfer of copyright may be negotiated separately under written agreement.
Copyright & Licensing Policy
Unless otherwise agreed in writing, Young One Studio, LLC retains all copyright and intellectual property rights in all footage, photographs, edits, graphics, audio, and other media created by its employees or contractors.
Upon full payment, the client receives a perpetual, non-exclusive, non-transferable license to use the final delivered media for its intended commercial or personal purposes.
Unless exclusive rights have been purchased, Young One Studio, LLC retains the unrestricted right to use completed projects, excerpts, behind-the-scenes material, stills, project artwork, logos, and related media for portfolio display, website content, social media, award submissions, promotional materials, educational purposes, and future marketing.
Exclusive ownership, transfer of copyright, raw footage, project files, or .BRAW camera originals may be purchased separately under written agreement.
Storage Policy
Young One Studio, LLC will retain project footage and production files for three (3) months following final project delivery.
Following the expiration of the storage period, Young One Studio, LLC may permanently delete all footage, project files, edits, and backups without further notice.
Clients requiring longer archival periods should arrange extended storage prior to expiration. Extended storage services may incur additional fees.
Cancellation, Safety & Insurance
Cancellation Fees
Cancellation charges apply as follows:

More than 7 days before the scheduled shoot: No cancellation fee.

Within 7 days of the scheduled shoot: 25% of the agreed production fee.

Within 72 hours of the scheduled shoot: 50% of the agreed production fee.

Within 24 hours of the scheduled shoot, or failure to attend: 100% of the agreed production fee.
Cancellation fees compensate for reserved crew, equipment, studio time, production scheduling, and lost booking opportunities.
Client Responsibilities
The Client is responsible for ensuring all filming locations are safe, legally accessible, and appropriately insured where required.
The Client is also responsible for obtaining any required permits, permissions, releases, or approvals unless Young One Studio, LLC has specifically agreed to obtain them.
Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, severe weather, fire, flood, government restrictions, labor disputes, pandemics, illness, transportation disruptions, equipment failure, power outages, internet outages, or any other unforeseen circumstance beyond reasonable control.
In such circumstances, all delivery dates and obligations shall be reasonably extended until performance becomes possible.
Client Delays
Project schedules assume timely delivery of all required materials, approvals, feedback, locations, talent, and other client responsibilities.
Any delay caused by the Client may result in revised delivery dates and additional production or editing fees where significant rescheduling or additional work becomes necessary.
Artificial Intelligence & Machine Learning
Unless expressly authorized in writing, the Client shall not upload, use, reproduce, or permit the use of any footage, photographs, audio, graphics, project files, or other materials created by Young One Studio, LLC for the purpose of training, developing, fine-tuning, testing, or improving any artificial intelligence, machine learning, or similar automated system.
Any such use requires the prior written consent of Young One Studio, LLC.
Warranties & Limitation of Liability
Young One Studio, LLC warrants that all Services will be performed with reasonable skill, care, and professional standards consistent with the production industry.
Young One Studio, LLC shall not be liable for:

Errors arising from inaccurate, incomplete, or misleading information supplied by the Client.

Delays caused by third parties, suppliers, talent, weather, equipment failure, or circumstances beyond reasonable control.

Indirect, incidental, consequential, or special damages, including loss of revenue, business opportunities, goodwill, or anticipated profits, except where prohibited by law.
To the maximum extent permitted by applicable law, Young One Studio, LLC’s total liability arising from any claim relating to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.
Applicable Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
Any dispute arising from or relating to these Terms or the Services provided shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, unless otherwise agreed in writing by both parties.
By engaging Young One Studio, LLC and accepting a quotation, invoice, proposal, or production agreement incorporating these Terms and Conditions, the Client acknowledges and agrees to this Production Company Affiliation Clause. Any exceptions or modifications must be agreed upon in writing prior to commencement of the project.
