Final Product Ownership & Use​

Edit, Color, Sound & Creative Approval

If Young One Studio, LLC is engaged as the director, cinematographer, editor, or post-production provider for a project, Young One Studio, LLC retains final editorial and technical approval over the completed work unless otherwise agreed in writing.

Creative and technical approval relates to the version Young One Studio is contracted to deliver; it does not establish ownership of the Client’s script or underlying project. Signed project-specific provisions on ownership, re-editing, revisions, and use take precedence over these general delivery terms.

The final version of the project, including but not limited to editing, pacing, shot selection, visual style, color grading, sound design, sound mixing, mastering, graphics, titles, visual effects, aspect ratio, and overall presentation, shall constitute the official approved version of the work.

Demo scene clients may keep, re-edit, and use the supplied original RAW footage and production audio for their own future versions and promotional material without further studio approval. Young One Studio retains its original finished cut for portfolio display; client-created versions are separate from the studio-approved cut. For other productions, clients may not modify, alter, re-edit, recut, recolor, remix, resize, crop, replace music, remove branding, or otherwise create derivative versions of the final deliverable without the prior written consent of Young One Studio, LLC, unless otherwise agreed in writing.

Posting the final delivered version to social media platforms is permitted, including any automatic compression, transcoding, or resizing performed by the platform itself (including but not limited to Instagram, TikTok, Facebook, Vimeo and YouTube).

Any unauthorized modification, distribution, or public exhibition of an altered version constitutes a material breach of this agreement. Young One Studio, LLC reserves the right to seek injunctive relief, recovery of damages, removal of the altered work, recovery of reasonable legal fees where permitted by law, and any other remedies available under applicable law.

Delivery

The Service shall be delivered in accordance with the agreed project brief, proposal, or quotation.

​

Final Deliverable

Young One Studio, LLC shall provide one completed master version of the production unless otherwise specified in writing.

​

Revisions

One consolidated round of revision notes is included with every project unless otherwise agreed in writing.

Revision requests should be submitted together in a single email or review document. Additional revision rounds, piecemeal feedback submitted across multiple communications, or revisions outside the agreed project scope may incur additional editing fees at the applicable hourly or daily rate.

Delivery Timelines

Delivery dates are estimates only. While Young One Studio, LLC makes every reasonable effort to meet agreed timelines, delivery dates cannot be guaranteed due to production variables beyond our reasonable control. Any significant delays will be communicated as soon as reasonably possible.

Payment

Payment terms shall be outlined within the quotation or invoice.

Unless otherwise agreed in writing:

  • Payment is due within fourteen (14) days of the invoice date.

  • Outstanding balances may accrue interest at 5% per month or the maximum amount permitted by applicable law, whichever is lower.

  • Projects exceeding USD $1,000 may be invoiced progressively upon completion of key production milestones.

  • Young One Studio, LLC reserves the right to suspend production, editing, delivery, or release of final files until outstanding balances have been paid in full.

All payments shall be made in United States Dollars without deduction or set-off.

Any rights Young One Studio agrees to grant or transfer to the Client are conditional on full payment of the invoices relating to the project unless otherwise agreed in writing. This payment condition does not affect the Client’s pre-existing rights in their script, story, or other supplied materials.

Ownership and licensing arrangements, including client-owned productions and any exclusivity, are agreed in writing for the specific project.

Copyright & Licensing Policy

Young One Studio, LLC may be engaged solely as a crew, filming, directing, cinematography, or post-production service provider. Providing those services does not, by itself, give Young One Studio an ownership interest in the Client’s underlying project. The Client retains rights in their script, story, characters, and other pre-existing intellectual property or materials they supply.

Ownership of newly created footage, photographs, edits, graphics, audio, other production materials, and the finished production is determined by the signed project agreement and applicable law. Young One Studio can provide services for client-owned productions. Any client ownership arrangement, retained studio rights, co-ownership, exclusive license, copyright assignment, or work-made-for-hire terms must be expressly documented in a written agreement signed by the relevant parties.

Unless the signed project agreement provides for client ownership, an exclusive license, or different usage rights, upon full payment of all invoices relating to the project the Client receives a perpetual, worldwide, non-exclusive license to use, reproduce, distribute, publicly display, publicly perform, submit, exhibit, advertise, and otherwise exploit the final delivered media for its intended commercial or personal purposes. This includes use through film festivals, broadcasters, distributors, streaming platforms, websites, social media platforms, and other authorized exhibition or distribution channels. The Client may grant third parties the permissions reasonably necessary to distribute, exhibit, promote, or otherwise use the final delivered media on the Client’s behalf.

Portfolio permission is separate from ownership. Unless a different arrangement is agreed in writing, the Client authorizes Young One Studio to feature its contribution in the studio’s gallery, Media Library, and professional portfolio in accordance with the Portfolio Display, Hosting & Festival Considerations policy below. This permission does not transfer ownership of the Client’s project to Young One Studio and is subject to agreed publication delays and release restrictions.

Demo scene packages include all original camera RAW footage and production audio free of charge when the client supplies a suitable SSD or hard drive on or before the shoot day. Clients may keep and re-edit these files for future use, and Young One Studio retains its original finished cut for portfolio display. Editing project files and third-party licensed assets are not included. For other productions, delivery of raw footage, unused footage, project files, source files, .BRAW camera originals, or other production materials must be included in the written project agreement. File delivery and copyright ownership are separate matters; any ownership and access arrangements must be specified in that agreement.

Any exclusive license, copyright transfer, or ownership arrangement must be included in the signed project agreement. Except for the free RAW footage and production audio included with demo scene packages, delivery of raw footage, project files, or source media must also be included in that agreement. Any additional fees for other deliverables or rights will be set out in that agreement.

Any third-party materials incorporated into the project, including licensed music, stock footage, fonts, graphics, or other assets, remain subject to the terms and limitations of their respective licenses.

Any rights Young One Studio agrees to grant or transfer are conditional on full payment unless otherwise agreed in writing. This does not affect the Client’s pre-existing intellectual property rights.

Portfolio Display, Hosting & Festival Considerations

As a material condition of booking, every completed project for which Young One Studio, LLC provides filming, directing, cinematography, editing, post-production, or other substantial production services will be represented in the Young One Studio professional portfolio and public Media Library.

​

Each project listing may include the project title, synopsis, artwork, stills, trailer, teaser, excerpts, completed film, and credits identifying the production services and crew positions fulfilled by Young One Studio, LLC. The listing will represent the project and its creators while accurately acknowledging Young One Studio’s contribution to the completed work.

Unless festival, distribution, broadcaster, or platform restrictions apply, the completed project will ordinarily be hosted through an unlisted YouTube link embedded on the Young One Studio website. The video will not be publicly listed on the Young One Studio YouTube channel, but it will be viewable through the Young One Studio website and by anyone possessing the direct link.

Portfolio inclusion is not optional. However, the timing and format of the project’s presentation may be adjusted where reasonably necessary to protect festival eligibility, premiere status, exclusivity, distribution opportunities, or other legitimate release requirements.

Clients intending to submit a project to festivals, distributors, broadcasters, or platforms with premiere-status, exclusivity, or prior-publication restrictions must notify Young One Studio, LLC in writing before filming or as soon as any such restriction becomes known. Any publication delay, festival embargo, password protection, or alternative portfolio arrangement must be agreed upon in writing.

Where making the complete project publicly viewable could affect a disclosed festival or distribution requirement, Young One Studio, LLC will not knowingly publish the complete film during the applicable restricted period. The project will instead remain represented in the Young One Studio Media Library through materials permitted under the applicable restrictions, which may include its title, synopsis, artwork, stills, trailer, teaser, approved excerpts, and production credits. Once the applicable restrictions have expired or written clearance has been provided, Young One Studio, LLC may add the completed project to the portfolio page.

This policy is intended to ensure that every project created with Young One Studio is professionally represented without unnecessarily compromising its festival or distribution opportunities. Festival, broadcaster, distributor, and platform eligibility requirements are determined by those third parties, and Young One Studio, LLC cannot guarantee eligibility where applicable restrictions have not been fully and promptly disclosed by the Client.

Displaying completed work allows Young One Studio, LLC to demonstrate the quality of its productions, attract future clients, and continue investing in equipment, training, and production capabilities. This growth enables Young One Studio to maintain accessible industry rates while providing filmmakers and artists with stronger production resources, broader experience, and continually improving services.

​

By engaging Young One Studio, LLC or accepting a quotation, invoice, proposal, or production agreement incorporating these Terms and Conditions, the Client acknowledges, authorizes, and agrees to this Portfolio Display, Hosting & Festival Considerations Policy.

Storage Policy

Young One Studio, LLC will retain project footage and production files for three (3) months following final project delivery.

Following the expiration of the storage period, Young One Studio, LLC may permanently delete all footage, project files, edits, and backups without further notice.

Clients requiring longer archival periods should arrange extended storage prior to expiration. Extended storage services may incur additional fees.

Cancellation, Safety & Insurance

​

Cancellation Fees

Cancellation charges apply as follows:

  • More than 7 days before the scheduled shoot: No cancellation fee.

  • Within 7 days of the scheduled shoot: 25% of the agreed production fee.

  • Within 72 hours of the scheduled shoot: 50% of the agreed production fee.

  • Within 24 hours of the scheduled shoot, or failure to attend: 100% of the agreed production fee.

Cancellation fees compensate for reserved crew, equipment, studio time, production scheduling, and lost booking opportunities.

Client Responsibilities

The Client is responsible for ensuring all filming locations are safe, legally accessible, and appropriately insured where required.

The Client is also responsible for obtaining any required permits, permissions, releases, or approvals unless Young One Studio, LLC has specifically agreed to obtain them.

​

Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, severe weather, fire, flood, government restrictions, labor disputes, pandemics, illness, transportation disruptions, equipment failure, power outages, internet outages, or any other unforeseen circumstance beyond reasonable control.

In such circumstances, all delivery dates and obligations shall be reasonably extended until performance becomes possible.

Client Delays

Project schedules assume timely delivery of all required materials, approvals, feedback, locations, talent, and other client responsibilities.

Any delay caused by the Client may result in revised delivery dates and additional production or editing fees where significant rescheduling or additional work becomes necessary.

​

Artificial Intelligence & Machine Learning

Unless expressly authorized in writing, the Client shall not upload, use, reproduce, or permit the use of any footage, photographs, audio, graphics, project files, or other materials created by Young One Studio, LLC for the purpose of training, developing, fine-tuning, testing, or improving any artificial intelligence, machine learning, or similar automated system.

Any such use requires the prior written consent of Young One Studio, LLC.

Warranties & Limitation of Liability

Young One Studio, LLC warrants that all Services will be performed with reasonable skill, care, and professional standards consistent with the production industry.

Young One Studio, LLC shall not be liable for:

  • Errors arising from inaccurate, incomplete, or misleading information supplied by the Client.

  • Delays caused by third parties, suppliers, talent, weather, equipment failure, or circumstances beyond reasonable control.

  • Indirect, incidental, consequential, or special damages, including loss of revenue, business opportunities, goodwill, or anticipated profits, except where prohibited by law.

To the maximum extent permitted by applicable law, Young One Studio, LLC’s total liability arising from any claim relating to the Services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

Applicable Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of California, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Services provided shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, unless otherwise agreed in writing by both parties.

By engaging Young One Studio, LLC and accepting a quotation, invoice, proposal, or production agreement incorporating these Terms and Conditions, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions. Any exception or modification must be agreed upon in writing before commencement of the project.
